Overview

This website is operated by ENGROOVE shop LLC DBA ROXTRO Bands. Throughout the site, “we,” “us,” and “our” refer to ENGROOVE shop LLC DBA ROXTRO Bands. We offer this website, including all information, tools, and services available from it, to you, the user, on the condition that you accept all terms, conditions, policies, and notices stated here.

By visiting our site or purchasing from us, you use our “Service” and agree to be bound by these Terms of Service (“Terms”), including any policies referenced here or linked from this page. They apply to all users of the site, including browsers, customers, and contributors of content. Please read them carefully. Section 15 limits our liability, and Section 17 explains where disputes must be brought. If you do not agree to all of these Terms, do not access the site or use the Service.

Any new features or tools added to the store are also subject to these Terms. Our store is hosted on Shopify Inc., which provides the e-commerce platform we use to sell to you.

1. Online Store Terms

By agreeing to these Terms, you represent that you are at least the age of majority in your state of residence, or that you are a minor using the site with the consent and supervision of a parent or guardian who agrees to these Terms on your behalf.

We reserve the right to refuse service to anyone, at any time, for any lawful reason.

Your content (not including credit card information) may be transferred unencrypted and may involve (a) transmission over various networks and (b) changes to conform to the technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, its use, or access to it, without our express written permission. Headings are for convenience only and do not limit or affect these Terms.

3. Accuracy, Completeness, and Timeliness of Information

We are not responsible if information on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be your sole basis for decisions. We may modify the content of this site at any time but have no obligation to update it, and any historical information is provided for reference only. You are responsible for monitoring changes to our site.

4. Modifications to the Service and Prices

Prices are subject to change without notice. A price change does not affect an order we have already accepted. We may modify or discontinue the Service, or any part of it, at any time, and to the extent permitted by law we are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

Certain products may be available exclusively online, in limited quantities, and are subject to return or exchange only under our Refund Policy.

We try to display product colors and images as accurately as possible, but we cannot guarantee that your screen will show any color accurately. We may limit sales of our products to any person, region, or jurisdiction, and may limit quantities, case by case. Product descriptions and pricing may change at any time without notice, and we may discontinue any product at any time. Any offer is void where prohibited.

We do not warrant that the quality of any product, service, or information you obtain from us will meet your expectations, or that errors in the Service will be corrected. This does not limit any rights you have under applicable law or our Refund Policy.

6. Product Use, Watch Compatibility, and Skin Sensitivity

Our products are watchbands designed to be compatible with certain Apple Watch models and sizes, as described in the applicable product listing. Compatibility descriptions do not mean that we manufacture, sponsor, endorse, or are affiliated with Apple. You are responsible for confirming that a band is appropriate for your watch model and size and that it is properly installed and secured before use.

You are responsible for inspecting your band and its connectors before each use, ensuring that it is correctly attached and securely fitted, and using, adjusting, cleaning, and maintaining it according to any instructions we provide and the watch manufacturer’s guidance. Do not use a band that appears damaged, loose, defective, excessively worn, or improperly fitted. Remove the band if it causes discomfort, redness, irritation, swelling, or another unexpected reaction, and seek appropriate medical advice when needed.

Skin sensitivity and allergic reactions vary from person to person. We cannot predict how an individual’s skin will react to a product or guarantee that a band will be suitable for every person or every wearing condition. Prolonged moisture, sweat, friction, a tight fit, cleaning products, and individual sensitivities may contribute to irritation or other skin reactions.

To the fullest extent permitted by applicable law, ENGROOVE shop LLC DBA ROXTRO Bands is not responsible for loss of, damage to, or malfunction of a customer’s watch or other device, or for skin irritation, rash, allergic reaction, discomfort, injury, or other loss arising from or related to the selection, installation, fit, adjustment, wear, misuse, maintenance, or condition of a watchband, or from the customer’s individual sensitivity or wearing practices. This provision does not exclude or limit any liability that cannot legally be excluded or limited, and it does not replace any rights or remedies available to you under applicable law.

Our products are not medical devices, and product descriptions are not medical advice. If you have known material sensitivities or concerns about wearing a watchband, review the product information and consult an appropriate professional before use.

7. Orders, Billing, and Account Information

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order, including orders placed under the same customer account, credit card, or billing or shipping address. If we change or cancel an order, we may try to notify you using the email, billing address, or phone number you gave us when you ordered. We may limit or prohibit orders that appear to be placed by dealers, resellers, or distributors.

You agree to provide current, complete, and accurate purchase and account information for all purchases, and to promptly update your account and other information, including your email address and payment card details, so that we can complete your transactions and contact you when needed. 8. Shipping and Delivery

Shipping methods, costs, and estimated delivery times are shown at checkout. Estimates are not guarantees, and delays can occur because of carriers or other factors outside our control. Risk of loss passes to you upon delivery to the carrier [confirm this matches your practice]. You are responsible for providing a correct shipping address.

We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion to be unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that violates anyone’s intellectual property rights or these Terms.

You agree that your comments will not violate any right of any third party, including copyright, trademark, privacy, or other personal or proprietary rights, and will not contain unlawful, abusive, or obscene material or any virus or other malware. You may not use a false email address, pretend to be someone else, or otherwise mislead us or third parties about the origin of any comment. You are solely responsible for your comments and their accuracy, and we take no responsibility for comments posted by you or any third party.

All content on this site, including product designs, photographs, text, graphics, logos, and the names ROXTRO and ROXTRO Bands, is owned by or licensed to ENGROOVE shop LLC and is protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or use any of it for commercial purposes without our written permission. Apple and Apple Watch are trademarks of Apple Inc. and are used only to describe compatibility. We are not affiliated with, sponsored by, or endorsed by Apple.

13. Errors, Inaccuracies, and Omissions

Occasionally, information on our site or in the Service may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any such errors, to change or update information, and to cancel orders if information in the Service is inaccurate, at any time and without prior notice, including after you have submitted your order. If we cancel an order after charging you, we will refund the amount charged.

We have no obligation to update, amend, or clarify information in the Service or on any related website, including pricing, except as required by law. No update or refresh date shown on the Service should be taken to mean that all information has been modified or updated.

Our total liability for any claim relating to the Service or a product will not exceed the amount you paid us for the product that is the subject of the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless ENGROOVE shop LLC DBA ROXTRO Bands and its members, managers, affiliates, partners, officers, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

17. Governing Law and Dispute Resolution

These Terms, and any separate agreement under which we provide you services, are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.

Informal resolution. Before filing any claim, you agree to contact us at contact@roxtrobands.com and give us 30 days to try to resolve the dispute informally.

Venue. If the dispute is not resolved, you and we agree that it will be heard in the state or federal courts located in Honolulu, Hawaii, and you consent to that venue. Either party may also bring a claim in small claims court.

18. Termination

These Terms are effective unless and until terminated by you or us. You may terminate them at any time by notifying us that you no longer wish to use our Services, or by ceasing to use our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. We may also deny you access to our Services, or any part of them.

The obligations and liabilities of the parties incurred before the termination date survive termination for all purposes.

19. Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law, and the unenforceable portion will be severed from these Terms. That determination does not affect the validity and enforceability of any other provision.

20. Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision. These Terms, together with any policies or operating rules we post on this site or that apply to the Service, are the entire agreement between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, including prior versions of these Terms. Any ambiguity in these Terms will not be construed against the drafting party.
